Terms of Service

The service is provided by certflows LLC, trading as certflows.ai. You can reach us at admin@certflows.ai.

If you use certflows on behalf of a company, you confirm you have authority to bind that company to these terms. If you use it as an individual, you confirm you are of legal age to enter a contract.

certflows collects, stores and reviews tenant certificates of insurance, compares them against the insurance requirements you configure, and sends reminders and notices on your behalf. Automated extraction and comparison are decision-support tools: you remain responsible for reviewing certificates and for your own compliance and leasing decisions.

We grant you a limited, non-exclusive, non-transferable right to use the service within the plan and seat allowance you have purchased.

You must provide accurate account information and keep it up to date. You are responsible for keeping credentials confidential and for all activity that happens under your account and the accounts of team members you invite.

You must not, and must not allow anyone else to:

• use the service unlawfully or for fraud, spam or harassment;
• upload content you do not have the rights to, or that infringes anyone's IP;
• interfere with the security or integrity of the service — including malware, probing, penetration attempts, automated scraping, or circumventing seat or rate limits;
• reverse engineer, resell or redistribute the service; or
• send notices through the platform to recipients who have not consented to contact.

You keep ownership of the leases, certificates, tenant records and other content you upload. You grant us a limited licence to host, process and display that content solely to provide and support the service, including sending it to our AI processing subprocessor for extraction.

If a rights holder believes content on the platform infringes their rights, they can email admin@certflows.ai and we will review and remove infringing material. We may remove content or restrict accounts for repeated infringement.

We retain all rights in the service, including software, models, documentation, templates and branding. Nothing in these terms transfers ownership of any of it to you.

Subscriptions are sold on a per-seat annual basis at the price quoted to you at checkout. Plans renew automatically for the same term unless cancelled before the renewal date. Seat increases are charged pro rata; seat decreases take effect at the next renewal.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms, together with our Refund Policy.

We work to keep the service available and accurate, but we do not guarantee uninterrupted or error-free performance. Maintenance, third-party outages and factors outside our control can affect availability.

We may suspend or terminate access where there is material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. Where practical we will give notice and an opportunity to fix the problem first.

You can cancel at any time; access continues to the end of the paid period. After termination you may request an export of your data for 30 days, after which we may delete or anonymise it.

To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. certflows does not provide legal, insurance or brokerage advice.

We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury where the law does not allow it.

You will indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.

You may not assign these terms without our consent; we may assign them as part of a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. If a provision is unenforceable, the rest stays in force.

These terms are governed by the laws of the State of Hawaii, USA, and the courts of Hawaii have exclusive jurisdiction over disputes.

We may update these terms; material changes will be notified by email or in-app before they take effect.
